1. Scope of Services

• The exact scope of the service is defined in the proposal, contract, or written agreement provided before the start of the project.
• Any additional services requested outside the agreed scope are subject to additional fees.

2. Contract Formation

• A binding contract is created when the client accepts a proposal, signs an agreement, or otherwise confirms the engagement in writing.
• Verbal agreements are not binding unless confirmed in writing.

3. Client Responsibilities

• Provide all necessary information and materials on time.
  
• Ensure that all provided content is lawful and free of third-party rights.
• Cooperate actively so the services can be delivered properly.

4. Fees and Payment Terms

• All fees are stated in the offer or agreement.
  
• Payment must be made in advance unless otherwise agreed.
• Invoices are due immediately upon receipt.
• For ongoing services (e.g., monthly PR support), fees are due at the start of each service period.
• Late payments may result in suspension of services.

5. Service Delivery

• Consulting and PR services are creative and professional services; specific results or outcomes cannot be guaranteed.
  
• We provide services with due professional care but cannot guarantee media placements, audience response, growth, engagement, or specific performance outcomes.
  

6. Right of Withdrawal (Consumers Only)

• Consumers in the EU have a 14-day right of withdrawal.
  
• If the client requests that we begin the service before the withdrawal period ends, the client must pay for any service already provided.
  

7. Intellectual Property

• All concepts, strategies, texts, creative content, ideas, and materials produced remain our intellectual property unless otherwise agreed.
  
• Upon full payment, the client receives a non-exclusive right to use the final deliverables for the intended purpose.
  
• Drafts, working files, processes, and internal documents remain our property.

9. Limitation of Liability

• For minor negligence, liability is limited to foreseeable, typical damages.
• We are not liable for:
• Loss of profits.
  
• Indirect or consequential damages.
  
• Decisions made by the client based on our advice.
  
• Media performance, public perception, or business results.

10. Cancellation and Termination

• Fixed-price projects may only be canceled for good cause. Work already completed must be paid in full.
  
• Monthly retainers may be canceled with the notice period stated in the contract (default: 30 days).
  
• We may terminate the contract if the client violates these Terms, behaves abusively, or fails to pay invoices.

11. Use of AI Tools (if applicable)

• We may use AI-based tools to support research, content creation, or analysis.
  
• AI output may contain inaccuracies or require human editing.
  
• We do not guarantee the correctness of AI-generated content.
  

12. Governing Law and Jurisdiction

• These Terms are governed by the laws of Latvia.
  
• For consumers, mandatory consumer protection laws of their country of residence apply.
  
• For business clients, the exclusive place of jurisdiction is Riga, Latvia.

13. Amendments

• We reserve the right to update these Terms at any time. The version valid at the time of contract formation applies.
